Terms & Conditions

These Terms and Conditions apply to all contracts between Holistic Trainings GmbH and its clients for the provision of training, coaching, mentoring and consulting services.

§ 1 Scope

These Terms and Conditions apply to all present and future business relationships between Holistic Trainings GmbH and the client, provided the client is a business as defined by § 14 of the German Civil Code (BGB). Our services are directed exclusively at entrepreneurs and self-employed professionals within the meaning of § 14 BGB (German Civil Code). Consumer contracts are excluded. Individual coaching engagements booked by private individuals acting in a professional capacity are likewise subject to these Terms. Deviating conditions of the client are not recognised unless Holistic Trainings GmbH expressly agrees to their application in writing.

§ 2 Formation of Contract

Offers by Holistic Trainings GmbH are non-binding. A contract is formed upon written order confirmation by Holistic Trainings GmbH or upon commencement of the agreed service. For open seminars and workshops, the booking confirmation serves as the order confirmation.

Verbal side agreements and amendments to the contract must be made in writing to be effective (email is sufficient).

§ 3 Scope of Services

The scope of services is defined by the respective offer or written agreement. Holistic Trainings GmbH is entitled to have partial services rendered by suitable third parties, unless the client objects.

Holistic Trainings GmbH reserves the right to substitute announced speakers or trainers with persons of equivalent qualification if unforeseen circumstances require it.

§ 4 Prices and Payment

All prices are net plus applicable VAT. Travel and accommodation costs are invoiced separately unless otherwise agreed.

Invoices are payable within 14 days of the invoice date without deduction, unless a different payment term has been agreed. In the event of late payment, Holistic Trainings GmbH is entitled to charge interest at the statutory rate.

For open seminars, full payment of the participation fee is due before the event begins.

§ 5 Cancellation by the Client

5.1 In-house training and consulting services

The following cancellation terms apply:

  • More than 8 weeks before the agreed start date: free of charge
  • More than 4 weeks and up to and including 8 weeks before the agreed start date: 50% of the agreed fee
  • 4 weeks or less before the agreed start date: 100% of the agreed fee

The client is entitled to demonstrate that no damage or substantially less damage has been incurred. In such cases, the flat-rate cancellation fee is limited to the damage actually incurred.

Any travel and accommodation costs already incurred must be reimbursed in any case. Cancellations must be made in text form (e.g. by email).

5.2 Open seminars and workshops

  • More than 6 weeks before the event: full refund of the participation fee
  • More than 3 weeks and up to and including 6 weeks before the event: 50% of the participation fee is retained
  • 3 weeks or less before the event: 100% of the participation fee is retained

Nominating a substitute participant is possible at any time until the event begins and is free of charge.

5.3 Individual coaching sessions

Individual coaching sessions may be cancelled or rescheduled free of charge up to 48 hours before the scheduled appointment. Cancellations made later or no-shows will be charged at the full session fee.

5.4 Outdoor modules

For multi-day outdoor and experiential programmes, the following additional terms apply:

  • Weather and programme changes: Holistic Trainings GmbH reserves the right to replace outdoor activities with equivalent alternatives in the event of unreasonable weather conditions or for safety reasons. This does not give rise to any claim for a reduction in price.
  • Equipment: Participants are required to bring the equipment specified in the offer or the booking confirmation. Holistic Trainings GmbH is not liable for damages arising from the absence of required equipment.
  • Health requirements: By making a booking, participants confirm that there are no health conditions preventing their participation. In case of doubt, medical advice should be sought before booking.
  • Programme discontinuation: If an outdoor programme has to be discontinued for good cause (e.g. severe weather, safety hazard), the services already rendered will be invoiced on a pro-rata basis. Further claims for damages are excluded, unless the discontinuation is attributable to Holistic Trainings GmbH.
  • Cancellation: The periods set out in § 5.1 apply where the outdoor module has been booked as an in-house service, or those set out in § 5.2 in the case of open events.

§ 6 Cancellation by Holistic Trainings GmbH

Holistic Trainings GmbH reserves the right to cancel an event due to insufficient participant numbers or for good cause (e.g. illness of the trainer, force majeure). In such cases, any payments already made will be refunded in full. Further claims for damages by the client are excluded to the extent that Holistic Trainings GmbH is not responsible for the cancellation.

§ 7 Client Obligations to Cooperate

The client shall ensure that the organisational requirements necessary for the provision of the service (premises, technology, participants) are available in good time. If additional effort arises due to a failure to cooperate on the part of the client, Holistic Trainings GmbH is entitled to invoice this separately.

§ 8 Confidentiality

Both parties undertake to keep all confidential information obtained in the course of the collaboration confidential and not to disclose it to third parties, using it only for the agreed purposes. This obligation continues after the termination of the contractual relationship.

Holistic Trainings GmbH treats all personal information from coaching and consulting sessions with strict confidentiality. Content from individual coaching sessions is not disclosed to the client (e.g. the coachee's employer) without the coachee's express consent.

§ 9 Copyright and Usage Rights

All materials developed and used by Holistic Trainings GmbH (concepts, presentations, exercises, handouts) are protected by copyright. Reproduction, distribution or use beyond the agreed contractual purpose requires the prior written consent of Holistic Trainings GmbH.

The client receives a non-transferable right to use the materials created for them, limited to the agreed purpose.

§ 10 Liability

Holistic Trainings GmbH is liable without limitation for damages arising from injury to life, body or health and for damages based on intentional or grossly negligent conduct.

In all other respects, the liability of Holistic Trainings GmbH is limited to foreseeable, contract-typical damage. Liability for indirect damages, loss of profit or consequential damages is excluded to the extent permitted by law.

Holistic Trainings GmbH does not guarantee that the content conveyed in training or coaching sessions will lead to specific professional or economic results.

§ 11 Data Protection

The collection, processing and use of personal data takes place exclusively in accordance with applicable data protection regulations, in particular the GDPR. For details, please refer to our Privacy Policy.

§ 12 Amendments to these Terms

Holistic Trainings GmbH reserves the right to amend these Terms and Conditions with effect for the future. Amendments will be communicated to the client in good time before they take effect. If the client does not object within four weeks of receiving the notification, the amended Terms and Conditions are deemed accepted.

§ 13 Final Provisions

These Terms and Conditions are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent permitted by law, Potsdam.

Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
